AGREEMENT TO OUR LEGAL TERMS
Global Window Systems inc., doing business as Global Window Systems ("Company," "we," "us," or "our"), is a United States company located at 121C Main Street, Westhampton Beach, New York 11978.
We operate the Global Window Systems Project Manager mobile application (the "App") and related websites, support pages, and services that link to these Terms of Use (collectively, the "Services"). The App is a private, invitation-only project-management service that helps authorized users coordinate construction projects, monitor timelines, communicate about work, and maintain project records.
You may contact us at (631) 773-5454, gws@globalwindowsystems.com, or 121C Main Street, Westhampton Beach, New York 11978.
These Terms of Use constitute a legally binding agreement between you, whether personally or on behalf of an organization, and the Company concerning your access to and use of the Services. By accepting these Terms during account setup or by accessing the Services after receiving notice of them, you confirm that you have read, understood, and agreed to be bound by them. If you do not agree, you must not access or use the Services.
We may update these Terms from time to time. We will identify revisions by changing the Last updated date and will provide additional notice or request renewed acceptance when required by law or when changes materially affect your rights. Supplemental project rules or written agreements may also apply as described below.
The Services are intended only for authorized business users who are at least 18 years old. Persons under 18 may not use or register for the Services.

1. OUR SERVICES
The Services are designed for internal business and authorized project-collaboration purposes. Access is limited to Company personnel and other builders, contractors, subcontractors, suppliers, owners, consultants, or project participants whom the Company or an authorized administrator invites and assigns to a project.
The Services are not designed as an emergency-notification system, an official regulatory-reporting system, or a substitute for legally required safety procedures, inspections, notices, approvals, professional judgment, or recordkeeping. Unless a separate written agreement expressly states otherwise, an entry, comment, status change, photograph, recording, or other item in the App does not itself amend a construction contract, approve a change order, certify code compliance, or replace a required formal notice.
The Services are primarily intended for use in New York. Anyone who accesses them elsewhere is responsible for complying with applicable local law.
2. AUTHORIZED ACCOUNTS
Accounts are created, provisioned, or made available by invitation. There is no unrestricted public registration. An invited user may be required to confirm an email address, create a password, and complete account setup.
You must provide accurate information, keep your credentials confidential, use only the account assigned to you, and promptly notify us if you suspect unauthorized access. You may not share, sell, transfer, lend, or permit another person to use your account. You are responsible for activity conducted through your account to the extent permitted by law.
Project visibility and permissions depend on your role and assignments. Access to an account does not authorize access to every project or record in the Services.
3. INTELLECTUAL PROPERTY RIGHTS
The Company or its licensors owns the Services and their source code, databases, functionality, interface designs, text, graphics, trademarks, service marks, and logos (collectively, the "Company Content"). Company Content is protected by intellectual-property and unfair-competition laws.
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Services and properly accessible Company Content solely for your authorized internal business and project-collaboration purposes. No other right or license is granted.
User Content, project documents, and materials supplied by builders, customers, or other project participants are addressed separately below and are not transferred to the Company merely because they are uploaded to the Services.
4. USER CONTENT AND PROJECT RECORDS
The Services allow authorized users to submit comments, task updates, status information, photographs, videos, audio recordings, documents, filenames, and other project-related materials (collectively, "User Content"). User Content may be visible to Company administrators and authorized users assigned to the same project.
You retain any ownership rights you have in your User Content. You are responsible for ensuring that your User Content is accurate to the best of your knowledge, relevant to the project, lawful, and submitted with all rights, permissions, notices, and consents required by law or contract.
You must obtain any legally required notice or consent before recording or uploading another person's image, voice, conversation, likeness, personal information, confidential information, or copyrighted material. Do not upload personal or confidential information that is unrelated or unnecessary for the applicable project.
Project information may be confidential under a separate agreement or applicable law. You must preserve that confidentiality and may disclose project information only to persons authorized to receive it.
5. LIMITED LICENSE FOR USER CONTENT
By submitting User Content, you grant the Company a non-exclusive, royalty-free license to host, store, back up, reproduce, format, transmit, display, and otherwise process that User Content only as reasonably necessary to operate, secure, support, and improve the Services; facilitate the applicable project; maintain authorized business and project records; comply with law; and establish, exercise, or defend legal claims.
This license permits us to make User Content available to service providers acting on our behalf and to authorized project participants, but it does not authorize us to sell your User Content or use your image, voice, documents, or project materials for unrelated advertising.
The license ends when the User Content is deleted from our systems, except to the extent continued retention is required or permitted under our Privacy Policy, applicable law, a binding written agreement, backup cycles, safety or warranty obligations, or the establishment, exercise, or defense of legal claims.
To the extent User Content is retained under these Terms or the Privacy Policy, the license granted in this section survives account deletion, deactivation, termination of access, and termination of these Terms solely for the permitted purposes and duration of that retention.
6. PROHIBITED ACTIVITIES
You may use the Services only for their intended, authorized purposes. You agree not to:
■ Access, attempt to access, copy, download, alter, or disclose any project, account, record, or User Content that you are not authorized to access.
■ Share credentials, impersonate another person, create an account under false pretenses, or bypass project roles, permissions, authentication, or other security controls.
■ Sell or transfer an account or profile, or use the Services to advertise or offer unrelated goods or services.
■ Collect user names, email addresses, project addresses, photographs, documents, or other information for unsolicited marketing, harassment, surveillance, or any purpose outside the authorized project.
■ Systematically scrape, extract, copy, or compile data or content from the Services without written permission.
■ Upload malware, harmful code, deceptive files, unlawful content, or material that disrupts, overloads, damages, or interferes with the Services or another user's device or use.
■ Harass, threaten, abuse, discriminate against, defame, or expose the personal information of another person, or submit content that is obscene, exploitative, or otherwise unlawful.
■ Record or upload another person's image, voice, conversation, likeness, personal information, or confidential information without any notice, consent, authority, or other legal basis required under applicable law or contract.
■ Falsify, conceal, destroy, or misleadingly alter project records, task status, inspection information, timestamps, comments, photographs, videos, audio, or documents.
■ Publish or use project addresses, contact information, plans, photographs, recordings, or documents on social media, in advertising, or for an outside purpose without authorization.
■ Reverse engineer, decompile, disassemble, decrypt, copy, modify, or create derivative software from the App except to the limited extent such a restriction is prohibited by applicable law.
■ Use the Services in violation of any law, regulation, court order, safety requirement, contractual obligation, or third-party right.
You may report suspected misuse or objectionable content to gws@globalwindowsystems.com. We may investigate and take reasonable action, including restricting content or suspending access.
7. MOBILE APPLICATION LICENSE
We grant you a revocable, non-exclusive, non-transferable, limited license to install and use the App on devices you own or control, solely for authorized use of the Services and subject to the usage rules of the applicable app marketplace.
You may not rent, lease, lend, sell, redistribute, sublicense, make the App available over an unauthorized network, remove proprietary notices, or use Company interfaces or proprietary information to develop a competing product.
If you obtained the App from Apple's App Store, you acknowledge that these Terms are between you and the Company, not Apple; the Company, not Apple, is responsible for the App and its support, subject to applicable law. Apple has no warranty obligation beyond any refund of the App's purchase price, if applicable. Apple and its subsidiaries are third-party beneficiaries of this section and may enforce it against you. You represent that you are not located in a country subject to a United States government embargo and are not listed on a prohibited or restricted-party list.
The Company, not Apple, is responsible for addressing claims relating to the App or your possession and use of it, including product-liability claims, claims that the App fails to comply with applicable legal or regulatory requirements, consumer-protection claims, and claims that the App infringes a third party's intellectual-property rights. You must also comply with applicable third-party terms when using the App.
8. THIRD-PARTY SERVICES AND CONTENT
The Services may rely on third-party hosting, authentication, storage, communications, operating-system, and app-distribution services, and may contain links to third-party websites or content. Third-party services are governed by their own terms and privacy practices where applicable.
We do not control and are not responsible for independent third-party websites or content. A link does not by itself mean that we endorse the linked material. Review the applicable third party's terms and privacy information before using its service.
9. SERVICES MANAGEMENT
We may monitor the Services for violations of these Terms; investigate reports; restrict access to projects or content; remove, preserve, or disable content where reasonably necessary; suspend or deactivate accounts; protect users, projects, systems, and legal rights; and cooperate with lawful requests from authorities.
Our ability to moderate or review content does not create a duty to inspect every submission, guarantee the accuracy of project records, or prevent every violation.
10. PRIVACY
Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information and how users may submit privacy requests. Review it at: https://globalwindowsystems.com/project-manager-privacy-policy. The Privacy Policy is incorporated into these Terms.
11. COPYRIGHT COMPLAINTS
We respect intellectual-property rights. If you believe material available through the Services infringes a copyright you own or control, email gws@globalwindowsystems.com with your contact information, identification of the copyrighted work, identification and location of the allegedly infringing material, a good-faith statement that the disputed use is not authorized, a statement that the information supplied is accurate, and your physical or electronic signature.
We may remove or restrict access to disputed material while reviewing a complaint. This contact method does not represent that the Company has registered a designated DMCA agent with the United States Copyright Office.
12. TERM, SUSPENSION, AND TERMINATION
These Terms remain effective while you use the Services. We may restrict, suspend, or terminate your access when your project role or employment ends, an authorizing organization withdraws access, the Services are discontinued, you violate these Terms, or restriction is reasonably necessary to protect users, projects, systems, or legal rights.
You may request account deletion through the method provided in the App or Privacy Policy. Account deletion, deactivation, or termination does not necessarily delete project records that the Company is legally or contractually required or otherwise permitted to retain. Any retained information will be handled as described in the Privacy Policy and may be disassociated from the deleted account where appropriate.
Provisions that by their nature should survive termination, including intellectual-property, confidentiality, record-retention, disclaimer, indemnification, governing-law, and miscellaneous provisions, will survive.
13. MODIFICATIONS AND INTERRUPTIONS
We may update, modify, suspend, or discontinue all or part of the Services. We may also perform maintenance or experience outages, delays, errors, or failures caused by software, networks, service providers, security events, or circumstances outside our reasonable control.
We do not guarantee uninterrupted availability or that every defect will be corrected. Users should not rely on the Services as their only copy of records that are essential for safety, legal compliance, contractual notice, or business continuity.
14. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms and your use of the Services are governed by the laws of the State of New York, without regard to conflict-of-law rules.
Any dispute arising from or relating to these Terms or the Services that is not controlled by a separate written agreement shall be resolved through litigation in the state courts located in Suffolk County, New York, or the federal court with jurisdiction over Suffolk County, and each party consents to the personal jurisdiction and venue of those courts.
15. DISCLAIMER
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DISCLAIM WARRANTIES THAT ARE NOT EXPRESSLY PROVIDED IN A SEPARATE WRITTEN AGREEMENT, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICES OR ANY USER CONTENT OR PROJECT RECORD WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETE, ACCURATE, SECURE AGAINST EVERY THREAT, OR SUITABLE AS THE SOLE BASIS FOR A SAFETY, ENGINEERING, ARCHITECTURAL, CONTRACTUAL, REGULATORY, OR EMERGENCY DECISION.
Nothing in these Terms excludes or restricts liability, warranties, or rights that cannot lawfully be excluded or restricted, including liability that applicable law does not permit a party to disclaim.
16. INDEMNIFICATION
To the extent permitted by law, you agree to indemnify and hold harmless the Company and its officers, employees, and agents from third-party claims, damages, losses, liabilities, and reasonable legal expenses arising from your unlawful User Content, unauthorized use of the Services, material breach of these Terms, infringement of another person's rights, or intentional harmful conduct through the Services.
This section does not require indemnification to the extent a claim resulted from the Company's own conduct for which indemnification is prohibited by law. We may control the defense of a covered claim, and you agree to provide reasonable cooperation.
17. USER DATA
We maintain information submitted to the Services as described in the Privacy Policy. The Services may not preserve every draft, local file, or device copy, and users should maintain appropriate independent copies of records they are responsible for preserving.
Retention and deletion depend on the type of information, the applicable project, legal and contractual requirements, safety and warranty needs, dispute-resolution needs, and the Privacy Policy. No statement in these Terms requires us to retain information longer than permitted by law.
18. ELECTRONIC COMMUNICATIONS AND SIGNATURES
Your use of the Services, emails to us, account setup, and electronic forms constitute electronic communications. You consent to receive service-related notices and records electronically at the email address associated with your account or through the App, subject to applicable law.
Where legally permitted, electronic acceptance and signatures have the same effect as handwritten signatures. This section does not make an in-App project entry a formal contractual approval when a separate agreement or law requires a different process.
19. PROJECT COLLABORATION AND CONSTRUCTION RECORDS
The Services are intended only for Company personnel and authorized users invited to participate in specific projects. Users may access, upload, use, or share information only for projects they are authorized to work on and must not disclose project information outside the authorized project team.
Comments, task activity, photographs, videos, audio recordings, documents, timestamps, installation records, and related information submitted through the Services form part of the applicable project’s business and project records. Account deletion, deactivation, or termination does not automatically delete these records.
We may remove or deidentify a former user’s profile information in ordinary user-facing displays where appropriate. However, to preserve the integrity, authenticity, and chronological history of project records, we may retain the original uploader identity, timestamps, project associations, file metadata, audit history, and related attribution in access-restricted company records.
Records may be retained for the duration of the applicable project and afterward for applicable warranty, contractual, business-record, and legal limitation periods. Records may be retained longer when reasonably necessary to comply with law, preserve evidence, respond to an investigation, satisfy a legal hold, resolve a dispute, or establish, exercise, or defend legal claims. Retained records will be handled according to our Privacy Policy.
If these Terms conflict with a separately signed agreement between the Company and a builder, contractor, customer, employee, or other organization, the separate written agreement controls to the extent of the conflict. These Terms do not create a partnership, joint venture, employment, fiduciary, or agency relationship between the Company and an outside project participant.
20. MISCELLANEOUS
These Terms, the Privacy Policy, and any applicable supplemental or separate written agreement constitute the agreement governing your use of the Services. Our failure to enforce a provision is not a waiver. We may assign our rights and obligations in connection with a merger, acquisition, restructuring, asset transfer, or operation of the Services; you may not assign your account or these Terms without our written consent.
If a provision is held unlawful or unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will remain effective. We are not responsible for delay or failure caused by circumstances outside our reasonable control.
